Financial reporting

On 30 November 2022, Clayton, Dubilier & Rice XI, L.P. (Cayman Islands) acquired, via one of its wholly owned subsidiaries, 100% of the issued share capital of OCS Group International Limited. 

On 28 February 2023, Clayton, Dubilier & Rice XI, L.P. (Cayman Islands) also acquired, via the same wholly owned subsidiary, 100% of the issued share capital of Atalian Servest Holdings Limited, Atalian Asia PTE Limited and Atalian Asia Holding Hong Kong Limited.

OCS Group Holdings Limited is an indirect parent company of all four purchased companies. Since only OCS Group International Limited was purchased in the year ended 31 December 2022, the governance requirements and s172 statement of OCS Group Holdings Limited for that year shall refer to the financial report for OCS Group International Limited but shall not include reference to the financial report of the purchased Atalian companies. 

A consolidated s172 statement will be included in the financial report for OCS Group Holdings Limited for the year ending 31 December 2023.

Modern Day Slavery Statement

On 30 November 2022, Clayton, Dubilier & Rice XI, L.P. (Cayman Islands) acquired, via one of its wholly owned subsidiaries, 100% of the issued share capital of OCS Group International Limited. 

On 28 February 2023, Clayton, Dubilier & Rice XI, L.P. (Cayman Islands) also acquired, via the same wholly owned subsidiary, 100% of the issued share capital of Atalian Servest Holdings Limited, Atalian Asia PTE Limited and Atalian Asia Holding Hong Kong Limited.

The Modern Slavery Statements for OCS Group International Limited and Atalian Servest Limited for the year ended 31 December 2022 are, therefore, separate documents. A consolidated Modern Slavery Statement shall be prepared in due course for the year ending 31 December 2023.
